Terms of Service

These Terms of Service ("Terms") govern your use of the AlgoOCR desktop application and the website algoocr.algozasolutions.com (collectively, the "Service"), operated by Algoza Solutions OPC Private Limited ("Company", "we", "us"). By downloading, installing, or using AlgoOCR, you agree to these Terms. If you do not agree, do not use the Service.

1. Definitions

• "Application" refers to the AlgoOCR desktop software for Windows.
• "User" or "you" refers to any individual who downloads, installs, or uses the Application.
• "Subscription" refers to a paid plan (Monthly or Yearly) that grants access to the Application's features.
• "Activation Token" refers to the unique code delivered via email to activate a Subscription.
• "Machine ID" refers to the hardware-derived identifier that binds a Subscription to a specific device.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement.

3. Account & Subscription

• A valid email address and Machine ID are required to purchase a Subscription.
• Each Subscription is bound to a single device identified by its Machine ID. Subscriptions are non-transferable unless explicitly authorized by us.
• Upon successful payment, an Activation Token will be sent to the email address you provided. You are responsible for keeping this token secure.
• We reserve the right to revoke a Subscription if we detect fraudulent activity, abuse, or violation of these Terms.

4. Free Trial

• New users are entitled to a one-time 7-day free trial per device.
• The free trial provides the same features as a paid Subscription.
• After the trial period expires, a paid Subscription is required to continue using the Application.
• Attempting to circumvent the trial limit (e.g., by manipulating the Machine ID) constitutes a violation of these Terms.

5. Pricing & Payment

• Current pricing is displayed on the website. Prices are in Indian Rupees (INR) and inclusive of applicable taxes.
• Payments are processed by Razorpay. By making a payment, you also agree to Razorpay's Terms of Service.
• We reserve the right to change pricing at any time. Price changes will not affect active Subscriptions.
• Subscriptions do not auto-renew. You must manually purchase a new Subscription upon expiry.

6. License & Usage Rights

• We grant you a limited, non-exclusive, non-transferable, revocable license to use the Application on a single device for the duration of your Subscription.
• You may not: reverse-engineer, decompile, or disassemble the Application; distribute, sublicense, or resell access; modify or create derivative works; use the Application for any unlawful purpose; or attempt to bypass licensing or security mechanisms.
• All intellectual property rights in the Application remain with Algoza Solutions OPC Private Limited.

7. Document Processing

• You retain full ownership of any documents you process through AlgoOCR.
• We do not claim any rights to your documents or their contents.
• Document images are transmitted to third-party OCR and AI services solely for the purpose of text extraction and structuring. These services process data per their respective data processing agreements and do not retain your document data.
• You are responsible for ensuring you have the right to process any documents you submit.

8. Accuracy Disclaimer

OCR and AI-powered document structuring are inherently imperfect technologies. While we strive for high accuracy, we do not guarantee that converted documents will be 100% accurate. You should always review the output before relying on it for official, legal, or financial purposes.

9. Service Availability

• The Application requires an active internet connection for OCR processing and subscription verification.
• We do not guarantee uninterrupted or error-free operation of the Service.
• We may perform maintenance, updates, or modifications to the Service at any time, with or without notice.
• We reserve the right to discontinue the Service with 30 days' notice. In such an event, active Subscriptions will be refunded on a pro-rata basis.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Service.
• Our total liability for any claim related to the Service shall not exceed the amount paid by you for the current Subscription period.

11. Indemnification

You agree to indemnify and hold harmless Algoza Solutions OPC Private Limited, its officers, and employees from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

• You may stop using the Service at any time by uninstalling the Application.
• We may terminate or suspend your access if you violate these Terms, without prior notice and without liability.
• Upon termination, your license to use the Application is immediately revoked.

13. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.

14. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms.
